Business Terms

Last updated: 23 October 2026

These Business Terms ("Terms") are a contract between Morodo Limited (trading as "Cordi"), a company registered in England and Wales under company number 11925189, registered office Demsa Accounts, 565 Green Lanes, Haringey, London, England, N8 0RL ("Cordi," "we," "us"), and the business that registers a shop on Cordi ("you," the "Business").

They apply when you sign up your shop through "Join now" in the Cordi business portal, and they govern your use of the Service as a business. By ticking the box to accept these Terms when you sign up, you confirm you have read and accept them on behalf of the Business, and that you are authorised to do so. Customers' use of the Cordi app is governed separately by the Cordi Terms of Service ("Customer Terms"), and our Privacy Policy explains how we handle personal data.

These Terms are for businesses only. You confirm that you are using the Service for the purposes of your trade or business, not as a consumer.

1. Definitions

2. Your account

2.1 Registration

You must give us accurate, complete information when you register — including the Business's real name and the address it trades from, and your own name and a mobile number we can reach you on — and keep it up to date. Each shop account covers one shop location.

2.2 Verification and approval

After you submit your sign-up, we will contact you to arrange a setup visit at your shop. At the visit we install your Cordi NFC tag, check your shop's location, show you how the Service works, and — if everything is in order — approve your shop. Until your shop is approved it does not appear on the Discover map, although Customers can already collect stamps with your Codes.

We may ask you for information to confirm that the Business is genuine and that you are authorised to act for it, and we may refuse or delay approval, or hide or remove any shop listing, that we cannot verify or that we reasonably believe is not genuine, impersonates another business, or is inaccurate.

2.3 Sign-in details and staff

Cordi currently provides one sign-in per shop, held by you. You are responsible for keeping it confidential and for all activity under your account, including by staff or anyone else you let use it or the devices it is signed in on. Make sure they follow these Terms. Tell us promptly at [email protected] if you think your account has been accessed without permission.

3. What we provide

3.1 The Service

While these Terms are in force, we will make available to you:

We provide the Service in return for the fees in Section 11, after a free trial. The Cordi app is free for Customers to download and use.

3.2 What the Service does not do

Cordi does not process payments for your sales, does not connect to your till or point-of-sale system, and does not send emails, text messages or push notifications to Customers on your behalf. Discounts and rewards are applied and handed over by you.

3.3 Changes to the Service

We are continually developing Cordi, and we may add, change or remove features. If a change would remove a feature you rely on or otherwise significantly disadvantage you, we will give you at least 30 days' notice where we can, unless the change is needed sooner for security, legal or technical reasons.

3.4 Availability

We aim to keep the Service available at all times, but we do not guarantee that it will be uninterrupted or error-free, and there may be planned or unplanned downtime. We do not offer a service-level agreement.

4. Your loyalty program

4.1 Your responsibilities

You are solely responsible for:

The sale of any product, and the giving of any reward, is between you and the Customer. Cordi is not a party to it, does not guarantee it, and is not your agent.

4.2 Rules shown to Customers

The Customer Terms tell Customers how the Program works, including that:

You agree to run your Program consistently with these rules.

4.3 Customer disputes

If a Customer complains about a stamp, reward, Birthday Gift or Promotion at your shop, you agree to deal with it promptly and in good faith. Where we receive the complaint, we may share the relevant stamp and redemption records with you and the Customer.

5. Your Codes and in-store setup

6. Changing or closing your program

You may change your Loyalty Card, turn off your Birthday Gift, or ask us to close your shop account at any time. Because Customers have been collecting stamps in reliance on your Program, before you remove a reward, make your Loyalty Card harder to complete, or close your shop account, you agree to:

Closing your shop account permanently deletes your shop, its Loyalty Card, and all your Customers' stamps, redemptions and Birthday Gift claims at your shop. This cannot be undone. Cordi cannot transfer stamps to another loyalty scheme; if you move to another scheme, any recognition of stamps collected on Cordi is up to you.

7. Promotions and Your Content

7.1 Content rules

Your Content must be accurate, lawful, and not false or misleading, and you must have all the rights needed to use it — including the trademarks and copyright in your name and logo. In particular, Promotions:

7.2 Deleting Promotions

You can delete a past Promotion in the Business Portal. It then disappears from your Customers' app, and its results and its record of which Customers received it are deleted too.

7.3 Review and removal

We do not review Your Content before it is published, but we may edit, hide or remove any of it — or hide your listing — if we reasonably believe it breaches these Terms or the law, or is inaccurate. Where practical, we will tell you why.

7.4 Licence to us

You keep ownership of Your Content. You grant us a non-exclusive, worldwide, royalty-free licence, for as long as these Terms are in force (and for a reasonable period afterwards to remove it from our systems and materials), to host, copy, display and adapt Your Content (for example resizing your logo) as needed to operate the Service, and to show your shop's name and logo as a participating shop on our website, in app-store listings and in our marketing materials. You can ask us at any time to stop using your shop in new marketing materials.

8. Birthday Gift

The Birthday Gift is optional and off by default. If you turn it on and describe a gift, Customers who meet the conditions in the Customer Terms can claim it at your shop — once per birthday, between 7 days before and 7 days after their birthday, if they have had their birthday on their account for at least 30 days and have collected a stamp at your shop on an earlier day. While the gift is on, you agree to give the gift you describe to every Customer who claims it at your shop. A discount gift is applied by you at the till.

You will see a "Gift given" mark next to a Customer for 30 days after your shop gives them the gift, and a count of gifts claimed — but never a Customer's date or year of birth, or whether their birthday is coming up.

9. Customer data and data protection

9.1 What you see

The Business Portal shows you information about your own Customers' activity at your shop: a masked email address (for example o***@gmail.com), stamp and visit history, Insights such as who appears "overdue", and — if you offer the Birthday Gift — whether your shop has given a Customer the gift in the last 30 days. It never shows full email addresses, names, birthdays or locations, and you cannot see Customers of any other shop.

9.2 How you may use it

You agree to:

9.3 Roles under data-protection law

Cordi is the controller of Customer data in the Service, as described in its Privacy Policy. When you view Customer information in the Business Portal, you receive it as a separate controller for the limited purpose in Section 9.2, and you are responsible for your own compliance with data-protection law for that use.

9.4 Your own data

We process your personal data as a Shop Owner (for example your name, email address, mobile number, setup-visit details and sign-in data) as described in our Privacy Policy. We use your mobile number only to arrange your setup visit, support you and tell you about problems with the Service — never for marketing.

10. Insights

Insights — such as return rates, visit trends, typical visit gaps and which Customers appear "overdue" — are estimates calculated from visits recorded in Cordi. They only reflect Customers who use the app, can be affected by how consistently stamps are collected, and are provided to help you, not as professional advice. We do not guarantee that they are complete or accurate, or any particular business result from using them.

11. Fees and payment

11.1 Free trial

Your first month on Cordi is free. The free trial starts on the day your shop is approved at the setup visit (Section 2.2), not when you sign up, and no payment card is needed to start it. Before the trial ends we will ask you, in the Business Portal, to add a payment card.

11.2 Subscription and price

After the free trial, the Service is a paid subscription, billed monthly or annually, as you choose when you add your card. The price, the currency (Turkish lira for shops in Turkey) and what is included are shown in the Business Portal before you subscribe, and the price that applies to you is the one shown when you subscribe. Where a founding price is shown, it applies for 12 months from your first payment. A billing period already paid at the founding price runs to its end; after that, the standard price shown in the Business Portal at that time applies. Prices do not include VAT, KDV or any other taxes. Where the law requires it, these are added to the price, or you account for them yourself (for example under a reverse-charge rule).

11.3 Payment

Fees are charged in advance at the start of each billing period, monthly or annually, to the card you add, through our payment provider, Stripe. Your subscription renews automatically at the end of each period until you cancel it. You can change your card, see your invoices and cancel in the Business Portal.

11.4 If you do not add a card, or a payment fails

If you have not added a card when the free trial ends, or a payment fails, we will tell you and Stripe will try the payment again. Until the fees due are paid, we may suspend the Service for your shop, in whole or in part — for example access to the Business Portal, your listing in the Cordi app, or the use of your Codes. If fees remain unpaid, we may end these Terms under Section 18.3.

11.5 Cancellation and refunds

You can cancel your subscription at any time in the Business Portal. Cancellation takes effect at the end of the billing period you have already paid for, and you can keep using the Service until then. Fees are non-refundable: we do not refund any part of a billing period, including when you cancel part-way through it. If you switch between monthly and annual billing, the unused part of your current period is credited against the new charge. This does not affect any right to a refund you have under law.

11.6 Price changes

We may change our prices by giving you at least 30 days' notice by email or in the Business Portal. The new price applies from the start of your next billing period after the notice ends. If you do not agree, you can cancel before then.

11.7 Shops that joined before paid plans

If your shop was approved before we introduced paid subscriptions, we will give you at least 30 days' notice before any fee applies to you.

12. Confidentiality

Each party will keep confidential any non-public information it receives from the other that is marked confidential or would reasonably be understood to be confidential — including, for us, the non-public parts of the Service and, for you, your Program's performance — and will use it only for the purposes of these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already had or develops independently, or that must be disclosed by law (in which case the disclosing party will be told where legally permitted). Each party may share confidential information with its staff, contractors and professional advisers who need it and are bound by similar duties. This Section continues after these Terms end.

13. Intellectual property

The Service — including its software, design, text, graphics and the Cordi name and logo — is owned by Morodo Limited or its licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Service, and to display the Cordi name, logo and your Codes at your shop, for the purpose of running your Program during these Terms. You may not copy, modify, reverse-engineer, resell or commercially exploit any part of the Service, or use our name or logo in any other way, without our written permission.

If you give us suggestions or feedback about the Service, we may use them freely without any obligation to you.

14. Acceptable use

You agree not to:

15. Warranties and disclaimers

Each party confirms that it has the power and authority to enter into these Terms. You also confirm that the information you give us about the Business is accurate and that Your Content complies with Section 7.1.

Except as expressly set out in these Terms, the Service is provided "as is" and "as available," and all other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law. We do not promise that using Cordi will increase your sales, visits or customer retention.

16. Liability

16.1 What we do not limit

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.

16.2 Exclusions

Subject to Section 16.1, we are not liable to you, whether in contract, tort (including negligence) or otherwise, for any:

We are also not liable for rewards, gifts or offers that you do not honor, or for stamps, redemptions or gifts made with your Codes.

16.3 Cap

Subject to Section 16.1, our total liability to you for all claims arising out of or in connection with these Terms in any 12-month period is limited to £500, or the total fees paid and payable by you under these Terms in the 12 months before the event giving rise to the claim, if greater.

16.4 Events outside our control

We are not liable for any delay or failure to perform caused by events outside our reasonable control, including failures of internet, network, hosting or app-store providers, power failures, industrial action, natural disasters or acts of government. We will tell you about the event and take reasonable steps to limit its effect.

17. Indemnity

You will indemnify us against all losses, damages, costs (including reasonable legal fees) and expenses arising from any claim by a third party — including a Customer or a regulator — to the extent it results from:

We will tell you promptly about any such claim, let you take part in its defence, and not settle it without consulting you.

18. Term, suspension and termination

18.1 Term

These Terms start when you accept them during sign-up and continue until ended under this Section.

18.2 By you

You can end these Terms at any time by asking us to close your shop account — currently by emailing [email protected] from the account's email address — after following Section 6.

18.3 By us

We may end these Terms for any reason by giving you at least 30 days' notice. We may suspend your account, hide your listing, or end these Terms immediately by notice if:

Where appropriate, we will tell you why and give you a chance to respond before suspending you, unless that would be unlawful or would undermine an investigation into fraud or a security risk.

18.4 What happens when these Terms end

19. Changes to these Terms

We may change these Terms from time to time. We will give you at least 30 days' notice of any material change by email or in the Business Portal, unless the change is required sooner by law. If you do not agree to the change, you can end these Terms under Section 18.2 before it takes effect. If you continue to use the Service after that date, the changed Terms apply.

20. General

21. Governing law and jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
